Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between the business registering an account (“you,” “your,” or the “Gym”) and MOAA TECH Nigeria Limited(“MOAA TECH,” “we,” “us”), a company incorporated in the Federal Republic of Nigeria with its registered office at Suite 307, Plot 307 The Kings Plaza, Ahmadu Bello Way, Kado, Abuja. They govern your use of FitHQ, including the admin console, the member portal, check-in tools, and related APIs (the “Service”). By creating an account or using the Service you agree to these Terms and our Privacy Policy.

2. Accounts

You must be at least 18 years old and authorized to act for the Gym you register. You are responsible for the accuracy of information you provide, for safeguarding login credentials, and for all activity under your account, including staff accounts you create. Notify us promptly of any suspected unauthorized access.

3. Subscription and Billing

FitHQ is offered on a paid subscription per gym, billed in advance. New gyms may receive a free trial; when the trial ends, an active subscription is required to continue using the Service. If a subscription charge fails we may retry it, and continued non-payment may lead to suspension of your account until the balance is settled. Fees are stated in Nigerian Naira and are non-refundable except where required by law.

4. Member Payments

The Service lets your members pay membership fees by card, transfer, or other supported methods through authorized payment processors, either into an account under your control or collected on your behalf and settled to you. You are solely responsible for your pricing, invoices, refunds, and any disputes with your members. Payment processing is additionally subject to the processor’s own terms.

5. Messaging to Members

The Service can send SMS and email to your members, such as receipts, reminders, one-time passcodes, and messages you compose. You confirm that you have each member’s consent to be contacted, and you must not use the Service to send spam, marketing to people who have not opted in, or content that is unlawful, deceptive, or abusive. We may suspend messaging that appears to violate this section.

6. Member Data

Records you keep in FitHQ about your members belong to you. For that data you are the data controller and MOAA TECH is a data processor acting on your instructions, as described in our Privacy Policy. You are responsible for having a lawful basis to collect and store your members’ data and for responding to their requests about it.

7. Acceptable Use

You must not use the Service to break any applicable law, infringe others’ rights, probe or disrupt our systems, resell the Service without our written consent, or upload malicious code. We may suspend or terminate accounts engaged in prohibited conduct.

8. Availability and Changes

We work to keep the Service available at all times but do not guarantee uninterrupted operation. We may improve or modify features, and will use reasonable efforts to give notice of changes that materially reduce core functionality.

9. Liability

To the maximum extent permitted by law, the Service is provided “as is,” and MOAA TECH’s total liability arising out of or relating to the Service is limited to the subscription fees you paid in the three (3) months before the event giving rise to the claim. We are not liable for indirect or consequential losses, or for failures caused by telecom carriers, payment processors, or other third parties.

10. Termination

You may cancel at any time; cancellation takes effect at the end of the paid period. We may suspend or terminate the Service for breach of these Terms. After termination you may request an export of your member data within 30 days, after which we may delete it.

11. General

These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the jurisdiction of Nigerian courts. We may update these Terms; material changes will be announced in the console or by email at least 14 days before they take effect. Questions? Contact hello@fithq.ng.
